Terms of Service — SurePing

1. Acceptance of Terms

By accessing and using SurePing (“the Service”), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Description of Service

SurePing provides website and service monitoring tools, including HTTP(S) monitoring, ping and port checks, SSL certificate monitoring, heartbeat/cron monitoring, alerting, and public status pages. We strive to provide accurate monitoring data, but we do not guarantee the absolute accuracy or uninterrupted availability of our monitoring services.

3. Accounts

You are responsible for maintaining the security of your account and password. The Service is not liable for any loss or damage from your failure to comply with this security obligation. You must provide accurate, complete, and current information when creating your account. One person or entity may not maintain more than one free account.

4. Acceptable Use

You agree not to misuse the Service or help anyone else do so. Your use of the Service must comply with our Acceptable Use Policy, which forms part of these Terms. We reserve the right to suspend or terminate accounts that violate these policies.

5. Usage Limits

Usage limits for Free, Starter, Pro, and Business plans are enforced as described on our pricing page. We reserve the right to throttle or terminate accounts that exceed reasonable usage patterns or degrade service for others.

6. Payments and Billing

Paid services are billed in advance on a monthly or yearly basis. All fees are exclusive of taxes unless stated otherwise. You are responsible for paying any applicable taxes. Prices may change with 30 days’ notice. Your subscription will automatically renew unless you cancel before the end of the current billing period.

7. Cancellation and Refunds

You may cancel your subscription at any time from your account settings. Upon cancellation, your account will remain active until the end of the current billing period, after which it will revert to the Free plan. 8. Intellectual Property

The Service, including its original content, features, and functionality, is owned by SurePing and is protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without prior written consent. You retain all rights to the data you submit to the Service.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy and Cookie Policy. By using the Service, you consent to the collection and use of your information as described in those policies.

10. Service Availability

We aim for high availability but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, upgrades, or reasons beyond our control. We will endeavour to provide advance notice of planned maintenance where practical.

11. Limitation of Liability

To the maximum extent permitted by law, SurePing and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, or goodwill, arising from your use of the Service. In no event shall our aggregate liability exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Disclaimer of Warranties

The Service is provided “as is” and “as available” without any warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. SurePing does not warrant that the Service will be error-free, secure, or available at any particular time or location.

13. Indemnification

You agree to indemnify, defend, and hold harmless SurePing and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.

14. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, if you breach these Terms. Upon termination, your right to use the Service ceases immediately. We will make reasonable efforts to allow you to export your data before account deletion, unless the termination is due to illegal activity or a material breach of these Terms.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service and updating the “Last updated” date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
